What makes an invoice legally valid?

The United States has no prescribed invoice format and no federal law that makes one invoice valid and another void. An invoice is evidence, and the question worth asking is not whether it is valid but whether it would persuade someone who was not there.

What the document has to establish

  1. Who is owed the money, identified well enough to be paid
  2. Who owes it — the legal entity, not the brand or the person you emailed
  3. What was supplied, described so that a stranger can match it to what was agreed
  4. How much, and in which currency
  5. When it was issued and when payment is due

An invoice carrying those five things is enforceable in the ordinary way, and one missing the second is the one that causes real trouble — a debt against a trading name nobody can serve is difficult to pursue.

The invoice is not the agreement

An invoice on its own proves you asked for money. What proves the money is owed is the agreement behind it — a signed proposal, an accepted quote, a purchase order, or an email thread agreeing scope and price. Keep those with the invoice, because they are what a dispute turns on.

What actually gets invoices rejected

  1. The wrong legal entity

    Billing the parent when the subsidiary contracted, or vice versa. Ask which entity to bill before the first invoice.

  2. A missing reference the payer requires

    A PO number, a cost centre, a contract reference. These are process requirements, not legal ones, and they stop payment just as effectively.

  3. Descriptions nobody can match

    "Professional services" against a contract for four named deliverables invites a query every time.

  4. Tax handled inconsistently

    A tax line that cannot be recomputed from the amounts above it is the single most common reason an invoice is returned.

Does an invoice need a signature?
No. Signatures matter on the agreement, not on the request for payment that follows it.
Is an emailed PDF as good as a paper invoice?
Yes. Nothing requires paper, and an emailed PDF carries a dated record of sending that a posted invoice does not.
Can I sue on an invoice alone?
You can bring a claim, but the invoice alone shows only that you asked. What carries it is the evidence that the work was agreed and delivered — which is why the quote, the acceptance and the delivery record belong in the same folder.
